——— FEES & COSTS
How much does it cost to hire a business lawyer in Hermosillo?
Cost depends on the engagement model, not a fixed rate. The three usual models are monthly retainer (a fixed fee for ongoing counsel), per project (incorporation, contracts, due diligence, trusts) and success fee in litigation. At CLEN, the starting point is a free risk assessment: first we measure your legal and tax exposure, then we propose the model. The figure almost no one compares is the most important one: preventing a dispute costs a fraction of litigating it.

——— YOUR COMPANY'S CHALLENGES
The risks you're not seeing today
Three situations companies in Northwest Mexico face every day — and that are better solved before than after.

01
Unreviewed contracts
Signing commercial, employment or lease agreements without legal protection leaves the company exposed to voidable terms and avoidable losses.

02
Tax authority (SAT) notices
A tax audit or inquiry comes with short deadlines. Responding late or poorly turns a simple clarification into a costly liability.

03
Buying without due diligence
Acquiring property without verifying title, liens and the seller's capacity is buying a problem that shows up when there's no turning back.

FREQUENTLY ASKED QUESTIONS
What clients ask us most
What is legal risk management and how is it different from traditional legal advice?
×
It's a preventive approach: instead of acting once a dispute exists, we identify and neutralize legal and tax exposure before it happens — contracts, compliance, asset protection. Traditional advice is reactive; risk management is preventive and continuous.
When does my company need a corporate lawyer?
+
As soon as it signs contracts, hires staff, has partners, buys property or receives notices from authorities. It isn't an emergency expense: it's what prevents the emergency.
What is a Mexican trust (fideicomiso) and what is it used for?
+
It's a contract in which an institution (the trustee) manages an asset for someone's benefit. It's used for asset protection, estate planning, guarantees and — key in Sonora — to let a foreigner acquire property in the restricted zone.
Can a foreigner buy a house or land on the coast of Sonora?
+
Yes. In the restricted zone (50 km from the coast) foreigners don't buy directly: they do it through a bank trust with a permit from Mexico's Ministry of Foreign Affairs. CLEN structures the whole process — relevant for San Carlos and Puerto Peñasco.
What is real estate due diligence and why do I need it before buying?
+
It's the legal review of the property before signing: title, recorded liens, the seller's capacity, zoning and outstanding debts. It keeps you from buying a problem.
What should I do if my company receives a notice or audit from the SAT (Mexico's tax authority)?
+
Don't ignore it: legal deadlines are short. We analyze the legality of the act and respond or challenge it through the available remedies (administrative appeal or amparo). Acting in time is usually the difference between correcting and paying.
How do I incorporate a company in Mexico and how long does it take?
+
You choose the type of company, obtain the name authorization, sign the bylaws before a notary, register with the Public Registry of Commerce and get the tax ID (RFC). With documents ready, it usually takes a few weeks.
What is compliance and what obligations does my company have?
+
It's the system for meeting the regulations that apply to you — labor, tax, data protection (LFPDPPP), anti-money-laundering. It reduces penalties and the liability of partners and directors.
What is a commercial insolvency proceeding (concurso mercantil) and when should you file?
+
It's the legal process for a company that can't pay its debts: it orders payments and protects operations while it restructures. Filing in time can save the company; filing late liquidates it.
Do you serve foreign companies or investors, in English and Chinese?
+
Yes. We advise foreign companies — including one in the minerals sector — and Javier Zamudio is a correspondent of the Concord & Sage firm (Los Angeles). Service in Spanish, English and Chinese.
